These Terms and Conditions (the “Terms”) govern access to TelPOS ERP, TelPOS Bulk SMS, the TelPOS mobile application, connected tenant workspaces, APIs and related services (together, the “Services”) provided by Telenical Systems Limited (“TelPOS”, “we”, “us” or “our”). By creating an account, accepting these Terms, or using the Services, you confirm that you have authority to bind yourself and the business you represent.
1. Accurate registration information
You must provide complete, current and correct business and contact information, including your legal or trading name, personal name, email address, mobile number, country, region and city. Temporary, misleading, impersonated or unreachable contact details are prohibited. You must promptly update information that changes.
Your account is not activated merely because a form was submitted. You must prove control of the email address supplied during registration by entering the six-digit verification code sent by TelPOS. We may also require mobile-number, identity, business, tax, sender-ID or payment verification where needed for security, compliance or a requested feature. Login remains disabled until the required verification is completed.
2. Account security and authorized users
You are responsible for protecting passwords, verification codes, API credentials, devices and active sessions, and for all activity performed through your account or business workspace. Do not share one-time codes or credentials with unauthorized persons. Notify TelPOS promptly if you suspect unauthorized access. Each user must use an individually assigned account and only permissions granted by the business administrator.
3. TelPOS ERP and business records
TelPOS ERP provides tools for sales, invoicing, inventory, purchases, expenses, reports, locations and other enabled modules. You remain responsible for reviewing entries, tax treatment, fiscal compliance, stock decisions, opening balances, reconciliations and reports before relying on them. Features, limits and modules available to a workspace depend on its active package and administrator configuration.
4. Bulk SMS, WhatsApp and customer communications
You may message only recipients for whom you have a lawful basis and any consent required for the communication. You must identify your business accurately, honour opt-outs and suppression lists without delay, maintain evidence of consent, and comply with applicable telecommunications, advertising, consumer-protection and privacy requirements. Purchased, scraped, misleading or unlawfully obtained contact lists must not be uploaded or used.
You are responsible for message content, timing, recipient selection, sender IDs, templates and campaigns. Prohibited content includes fraud, impersonation, phishing, malware, unlawful financial promotions, harassment, hate, exploitation, illegal goods or services, and content that violates third-party rights. TelPOS may block or suspend messages, sender IDs, campaigns or accounts where abuse, unusual activity or a legal or provider requirement is identified.
5. Sender IDs and third-party delivery
Sender IDs and messaging templates may require review by TelPOS, network operators, aggregators or regulators. Submission does not guarantee approval or a particular approval time. Delivery also depends on recipient networks, device availability, number validity, filtering and third-party providers; therefore delivery times and delivery to every recipient cannot be guaranteed.
6. Packages, subscriptions, credits and payments
Prices, taxes, package periods, included modules, users, locations, contacts and messaging credits are displayed before purchase or in the applicable quotation or invoice. ERP and bundled subscriptions are billed for the stated term; messaging top-ups are pay-as-you-go credits subject to the displayed validity and rate. Credits are not cash, do not earn interest and may be used only for eligible TelPOS messaging services.
Automatic payment methods are credited after confirmed payment-provider notification. Manual payments remain pending until reviewed. Failed, reversed, disputed or fraudulent transactions may result in reversal of credits or access. Except where required by law or expressly stated in writing, activated subscriptions and consumed messaging credits are non-refundable.
7. Data protection and confidentiality
We process personal data to register and secure accounts, provide the Services, deliver messages, manage billing, support users, prevent abuse and meet legal obligations. You must have authority to upload customer, employee or recipient information and must configure access appropriately. Additional details are provided in the TelPOS Privacy Policy. Each party must protect confidential information received from the other and use it only for the intended service relationship.
8. Availability, maintenance and changes
We work to keep the Services secure and available, but maintenance, internet failures, hosting incidents, network operators, payment providers and other external systems may cause interruption or delay. We may update, replace or discontinue a feature where reasonably necessary for security, law, provider compatibility or product improvement. Material changes affecting paid access will be communicated through the dashboard, app, website or registered contact details where practicable.
9. Suspension and termination
We may restrict, suspend or terminate access to protect users or systems, investigate abuse, respond to legal or provider requests, address non-payment, or enforce these Terms. You may request account closure through the provided account-deletion process. Legal, tax, payment, security, fraud-prevention and dispute records may be retained for the period required by applicable law even after account closure.
10. Your content and intellectual property
You retain rights in lawful business data and content you submit. You grant TelPOS and its service providers the limited permission needed to host, process, transmit, back up and display that content to operate the Services. TelPOS software, designs, brands, documentation and platform technology remain the property of TelPOS or its licensors and may not be copied, reverse engineered, resold or used to build an unauthorized competing service.
11. Responsibility and limitation
You are responsible for decisions made from your records, messages sent from your account, regulatory registrations and the accuracy of information you enter. To the extent permitted by applicable law, TelPOS is not liable for indirect or consequential loss, lost profits, lost opportunities, recipient-network filtering or outages outside our reasonable control. Nothing in these Terms excludes rights or liability that cannot lawfully be excluded.
12. Applicable law and resolving concerns
These Terms are governed by the laws of the United Republic of Tanzania. The parties should first try in good faith to resolve any concern through TelPOS support before commencing formal proceedings. Mandatory consumer, privacy or regulatory rights remain unaffected.
